Terms of Service

1. Agreement
These Terms form a binding agreement between you and Listly EURL (Paris, France) for use of listly.business and the Listly app. By creating an account or using the service, you accept these Terms.
2. Service description
Listly is a software service that generates e-commerce listing content — titles, descriptions, bullets, tags, categories — from product photos and prompts you provide, using AI models.
3. Accounts
You must provide accurate information, keep your credentials confidential, and be responsible for activity under your account. You must be at least 16 years old, or the age of digital consent in your country.
4. Acceptable use
You will not use Listly to generate content that is illegal, infringing, deceptive, or that violates the rules of a marketplace you publish to. You will not attempt to reverse-engineer, overload, or misuse the service.
5. AI accuracy disclaimer
Listly output is generated by AI and is provided as guidance. It may contain errors, omissions, or claims that do not match your product. You — the merchant — are responsible for reviewing every listing and confirming compliance with each marketplace's rules before publishing.
6. Customer data ownership
Your photos, catalog text and generated listings remain yours. You grant Listly a limited license to process them solely to provide the service to you (including storage, generation, and export).
7. Our intellectual property
The Listly software, brand, and documentation are owned by Listly EURL. Nothing in these Terms transfers ownership of the platform to you.
8. Fees and billing
Paid plans are billed monthly through Stripe in EUR. Usage above your plan quota is billed at 0.15 € per additional listing. Fees are non-refundable except where required by law.
9. Free tier and trials
The free tier includes ten listings per month. It has no card requirement, no expiry, and may change with reasonable notice.
10. Availability
We aim for high availability but do not offer a formal SLA on standard plans. The service is provided "as is" and "as available".
11. Termination
You may cancel your subscription at any time from your account; access continues until the end of the paid period. On account closure, your data is deleted within 90 days, except records we must retain by law.
12. Limitation of liability
To the maximum extent permitted by law, Listly's aggregate liability arising out of or relating to the service is capped at the fees you paid in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including lost sales or marketplace decisions.
13. Indemnity
You agree to indemnify Listly against third-party claims arising from your content, your use of the service in breach of these Terms, or your violation of a marketplace's rules.
14. Changes to these Terms
We may update these Terms. Material changes are announced at least 30 days in advance by email or in-app. Continued use after the effective date means acceptance.
15. Governing law
These Terms are governed by French law. Any dispute is subject to the exclusive jurisdiction of the competent courts of Paris, France, subject to mandatory consumer protection rules.
